These Partnership Terms summarize the framework governing relationships between Alcove Home Management ("Alcove") and trade professionals who participate in our Preferred Partner Network ("Partners").

Important: These terms describe our partnership framework for transparency and pre-application reference. The legally binding agreement governing your participation is the Preferred Partner Agreement executed during onboarding. In any conflict between these published terms and your executed agreement, the executed agreement controls.

1. Who These Terms Apply To

These terms apply to independent licensed and insured trade professionals who apply to or participate in Alcove's Preferred Partner Network. They do not apply to Alcove members, employees, or general site visitors. Member relationships are governed by our Terms of Service.

2. Partnership Model

Alcove operates as a homeowner management service that coordinates trade work performed by independent Partners. Partners remain independent contractors at all times. There is no employment, agency, joint venture, or franchise relationship between Alcove and any Partner. Partners set their own rates, schedules, and methods, subject to the standards of quality and communication described below.

3. Application and Vetting

To join the Preferred Partner Network, applicants must:

4. How Work Is Assigned

Alcove identifies homeowner needs through inspections, member requests, and ongoing oversight. When a Partner's services are needed, Alcove will:

Partners are not obligated to accept any specific assignment. Volume is not guaranteed.

5. Compensation

Partners invoice Alcove at rates established in the Preferred Partner Agreement and Exhibit A. Standard payment terms are net 15 business days from valid invoice receipt. Disputes about specific charges should be raised promptly; Alcove will work in good faith to resolve them within 10 business days.

Alcove does not collect kickbacks, referral fees, or markup beyond what is disclosed in the Preferred Partner Agreement.

7. Independent Workmanship and Liability

Partners are solely responsible for the workmanship, materials, safety, and outcomes of the services they perform. Alcove does not direct the manner or means of Partner work and does not warrant Partner services to homeowners beyond reasonable vetting and follow-up.

Partners agree to indemnify and hold harmless Alcove and its members from claims arising from the Partner's work, including but not limited to property damage, personal injury, defective workmanship, and licensing or insurance lapses.

8. Confidentiality

Partners agree to keep confidential any non-public information about Alcove, its members, member properties, and Alcove's business operations. This obligation survives termination of the partnership.

9. Term and Termination

Either party may terminate the partnership at any time, with or without cause, by providing 30 days' written notice. Alcove may terminate immediately for material breach, including loss of required licensing or insurance, repeated quality issues, member complaints, or conduct inconsistent with these terms.

Termination does not relieve either party of obligations accrued before termination, including outstanding payments and confidentiality obligations.

10. Non-Solicitation

For 12 months following termination, Partners agree not to directly solicit Alcove members for services that compete with or duplicate the Alcove service relationship. This does not prevent Partners from continuing pre-existing direct relationships disclosed at the time of network entry.

11. Independent Contractor Acknowledgment

Partners are independent contractors and not employees, agents, or partners of Alcove for any purpose. Partners are responsible for their own taxes, benefits, insurance, equipment, and business operations. Nothing in these terms creates an employment, agency, or joint venture relationship.

12. Governing Law and Disputes

These terms are governed by the laws of the Commonwealth of Virginia. Disputes will be resolved first through good-faith negotiation. If unresolved, disputes will proceed to binding arbitration in Charlottesville, Virginia under American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

Alcove may update these Partnership Terms from time to time. Active Partners will receive 30 days' notice of material changes via the email on file. Continued participation after the effective date constitutes acceptance.

14. Relationship to the Preferred Partner Agreement

These published terms summarize the partnership framework for general reference. Specific obligations, rate schedules, geographic scope, service categories, and other operational details are set out in the executed Preferred Partner Agreement and its Exhibit A. The executed agreement controls in any conflict.
